Terms of Service

1. What the Service Does

NeuroAds provides an AI-assisted advertising platform for ecommerce brands. With your authorization, the Service connects your advertising accounts on Google Ads, Meta (Facebook and Instagram), and TikTok, together with your Shopify store, in order to:

• report on your advertising performance across those platforms and your store;
• surface insights about that performance; and
• suggest optimizations, and—only where you specifically authorize it—help apply changes to the connected advertising accounts on your behalf.

NeuroAds is a tool that supports your advertising decisions. You remain responsible for your campaigns, budgets, and advertising spend.

2. Who May Use the Service

The Service is intended for businesses and the people who operate them. To use the Service you must be at least 18 years old, be able to form a binding contract, and, where you use the Service on behalf of a business, have authority to bind that business to these Terms. You must own, or be authorized to manage, each advertising account and store you connect to the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Connected Accounts and Your Authorization

You connect Google Ads, Meta, TikTok, and Shopify to the Service through each platform's own secure authorization (OAuth) flow. We access and act on your advertising accounts only to the extent you authorize, and only to provide the Service—that is, to report on performance and to suggest or, where you authorize it, apply optimizations. We do not take actions on your ad accounts that you have not authorized, and we do not use your connected-account access for any purpose unrelated to providing the Service to you.

You may revoke the Service's access at any time by disconnecting an account within the Service or through the relevant platform's security settings, or by contacting us. Revoking access may limit or disable parts of the Service. Your use of Google, Meta, TikTok, and Shopify remains subject to each platform's own terms and policies, and you are responsible for complying with them.

Google API disclosure. NeuroAds' use of information received from Google APIs, and its transfer of that information, adhere to the Google API Services User Data Policy, including the Limited Use requirements. We use Google Ads data only to provide and improve user-facing features of the Service, and we do not sell that data or use it for advertising or to train generalized AI/ML models.

4. Acceptable Use

You agree not to:

• use the Service in violation of any applicable law or regulation, or of the advertising policies or terms of Google, Meta, TikTok, or Shopify;
• use the Service to create, run, or optimize advertising for illegal, deceptive, infringing, or prohibited content;
• attempt to gain unauthorized access to the Service, other users' accounts, or our systems, or to disrupt or interfere with the Service;
• reverse engineer, resell, or sublicense the Service except as expressly permitted; or
• use the Service to infringe the rights of, or cause harm to, any third party.

5. Your Responsibilities

You are solely responsible for your advertising accounts, campaigns, creative, targeting, budgets, and spend, and for ensuring that your advertising complies with all applicable laws and platform policies. Optimization suggestions provided by the Service are recommendations; you are responsible for reviewing them, and any authorization you give the Service to apply changes is given at your discretion. You authorize any advertising spend that results from campaigns in your connected accounts.

6. Fees

Some features of the Service may be offered on paid plans. Where fees apply, they will be described at the point of sign-up or purchase, are payable in accordance with the plan you select, and are exclusive of taxes unless stated otherwise. We may change fees on reasonable notice. Advertising spend paid to Google, Meta, TikTok, or any advertising platform is separate from NeuroAds fees and is billed by those platforms directly.

7. Intellectual Property

The Service, including its software, models, and content (excluding your data), is owned by NeuroAds and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You retain all rights to your own data and content, and you grant us a limited license to access, process, and store it as necessary to provide the Service and as described in our Privacy Policy.

8. No Guarantee of Results; Disclaimers

Advertising performance depends on many factors outside our control, including your products, pricing, creative, market conditions, and the policies and algorithms of the advertising platforms. We do not guarantee any particular level of advertising performance, return on ad spend, revenue, or other results. The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

9. Limitation of Liability

To the fullest extent permitted by law, NeuroAds will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless NeuroAds and its officers, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your advertising, your content, or your violation of these Terms or of any applicable law or third-party policy.

11. Termination

You may stop using the Service and disconnect your accounts at any time. We may suspend or terminate your access if you breach these Terms, if required to protect the Service or other users, or if required by law or by a connected platform. On termination, your right to use the Service ends; we will handle any data we hold in accordance with our Privacy Policy. Sections that by their nature should survive termination—including intellectual property, disclaimers, limitation of liability, and indemnification—will survive.

12. Changes to the Service and These Terms

We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to arbitration or small-claims resolution will be the state and federal courts located in Orange County, California.
